Is There Conflict Because of a Conflict of Interest?

In this episode of How to Keep Your Day Job with the Morning Star Consultants, we dive into the world of conflict of interest (COI) on non-profit boards. What exactly is a conflict of interest? How do you distinguish between real and perceived conflicts? And most importantly, how do you manage them without creating actual conflict on your board?

Join us as we unpack practical strategies for identifying potential COI, crafting a robust disclosure process, and keeping your board accountable. We’ll explore why transparency is the ultimate antidote to COI issues and why every board needs a clear process to handle them. With a mix of real-life examples and a touch of humor, we’ll guide you through:

    • How to spot COI early (before it’s too late).
    • Why asking, “Who am I doing this for?” might be the best question you’ll ever ask yourself.
    • The magic of a well-written COI policy and how it can save your organization from unnecessary drama.

Whether you’re a seasoned board member, an executive leader, or just curious about governance, this episode will leave you better prepared to navigate the tricky world of COI with confidence, clarity, and maybe even a laugh or two.

Tune in, and let’s tackle the real conflicts of interest together!

In this heartfelt episode, we take a reflective journey through 2024—exploring the highs, the lows, and the powerful lessons that shaped us both personally and professionally. As we recount our top 10 moments, we share stories of triumph, resilience, and a fair share of challenges that tested our resolve.

While we did not mention him in the podcast, we want to take a moment here to honour the life and legacy of Chief Justice Murray Sinclair, whose passing this year left a profound void in the hearts of so many. A gift to the work of truth, reconciliation, and justice, his contributions remind us of the importance of perseverance, empathy, and the enduring fight for equity. His loss mirrored the challenges of 2024, a year that brought both sorrow and strength.

Audit vs. Financial Review under the Canada Not-for-Profit Corporations Act:

The required level of financial review depends on whether an organization is soliciting or non-soliciting and its gross annual revenues:

    • Revenue $50,000 or less: A review engagement is required, unless waived by unanimous resolution. An audit can be required by resolution.
    • Revenue between $50,000 and $250,000: An audit is required unless a special resolution allows for a review engagement instead.
    • Revenue over $250,000: A full audit is mandatory.
